# Part 1 — Refund Policy

## Refund Policy

We don't offer refunds on Life-First Business Lab membership. Here's why — and how we make sure you know what you're getting into before you buy.

### Why no refunds

The Lab is a digital subscription. The moment you join, you get immediate access to:

- The full member portal
- The Day 1 onboarding flow, including building your Business Brain
- Workflow Wizard and Content Sprout (normally $94/month combined)
- The Monthly AI Workshop library
- Every AI teammate we've shipped to date
- Your first teammate installed in your Claude account

Because this content can be downloaded, saved, and used immediately, refunds aren't possible after access is granted. This is the standard for digital products and online memberships.

### What we do instead

We'd rather you not buy than buy and regret it. So before you sign up:

- Our sales page is detailed. Read it.
- Our FAQ answers the most common questions. Read those too.
- The required tools and costs (Claude Max, ~$100/month) are disclosed clearly.
- The Stay-Installed Guarantee means every AI teammate you install stays in your Claude even if you cancel — so you keep what you built.

### Cancellation (not the same as a refund)

You can cancel your subscription anytime in your member portal. When you cancel:

- You retain access through the end of your current billing period
- You won't be charged again
- Every AI teammate you installed during your membership stays in your Claude (Stay-Installed Guarantee)
- You lose access to: the member portal, future weekly teammate drops, Workflow Wizard, Content Sprout, and the Monthly AI Workshop library

### Exceptions

We may issue a refund in cases of:

- Duplicate charges or billing errors on our end
- Technical issues that prevented all access for the entire billing period and couldn't be resolved
- Other circumstances at our sole discretion

### Chargebacks

Before initiating a chargeback with your bank or credit card company, please email us first. We're a small business and chargebacks cost us significant fees and time. We'd rather work it out directly.

If you initiate a chargeback without contacting us first, we reserve the right to terminate your access immediately and recover any losses.

# Part 2 — Terms of Service

## Terms of Service — Life-First Business Lab

These Terms govern your membership in the Life-First Business Lab ("the Lab"), a digital subscription product operated by [LEGAL ENTITY NAME — e.g., The Launch Collaborative, LLC or whatever entity Rachel runs the Lab under] ("we," "us," "our"). By purchasing a membership or using the Lab, you ("member," "you," "your") agree to these Terms.

**Please read these Terms carefully. They include important things about how the Lab works, what you can and can't do with the materials inside, how billing works, and what happens if either side decides to end the relationship.**

### 1. What the Lab is

The Lab is a digital subscription that includes:

- Access to a member portal with onboarding materials, training videos, and resources
- One new AI teammate (a Claude skill or prompt) delivered to your inbox weekly
- Access to bundled tools (Workflow Wizard and Content Sprout) for the duration of your membership
- A monthly AI workshop library
- Email support at [hello@deeplyrootedbusiness.com](mailto:hello@deeplyrootedbusiness.com)

The Lab requires an active subscription to Claude Max (or higher tier) from Anthropic to function. This is your responsibility to maintain. We don't sell or provide Claude access — you obtain it directly from Anthropic.

### 2. Eligibility

You must be at least 18 years old and have the legal authority to enter this agreement. By joining, you confirm that you are.

The Lab is designed for individual business owners. One membership = one business. If you'd like multiple seats for a team, contact us.

### 3. Membership and billing

#### 3.1 Subscription terms

Lab membership is a **monthly recurring subscription**. By joining, you authorize us to charge your payment method **$147 USD every month** until you cancel.

Your first charge happens at signup. Each subsequent charge happens on the same calendar day of each month (or the closest equivalent if your signup date doesn't exist in a given month — e.g., the 31st in February).

#### 3.2 Auto-renewal

**Your membership automatically renews each month until you cancel.** We won't email you a reminder before each renewal. By joining, you're confirming that you understand and agree to recurring billing.

If your payment fails, we'll attempt to charge your card again within a few days. If it continues to fail, we'll suspend your access until payment is resolved.

#### 3.3 Price changes

We may change Lab pricing at any time. If we do, your existing rate is locked in for as long as your membership remains active and uninterrupted. If you cancel and rejoin later, the current rate at that time applies.

#### 3.4 Cancellation

You can cancel your membership anytime through your member portal. Cancellation stops future charges — it doesn't refund past charges (see Refund Policy).

If you cancel:

- You retain access through the end of your current billing period
- You keep every AI teammate you installed during your membership (Stay-Installed Guarantee)
- You lose access to: portal, weekly drops, Workflow Wizard, Content Sprout, and the workshop library

### 4. Intellectual property and sharing (read this carefully)

This section matters. Please read it.

#### 4.1 Our IP

Everything inside the Lab — every AI teammate, every workshop, every doc, every video, every prompt, every skill file — is our intellectual property. It's the result of significant time, money, and expertise.

Your membership grants you a **personal, non-transferable, non-exclusive license** to use Lab materials **for your own business only**. That license ends when your membership ends (except for AI teammates you installed during your membership, which stay in your Claude under the Stay-Installed Guarantee).

#### 4.2 What you CAN do

- Use Lab teammates and tools in your own business
- Apply what you learn to your own work
- Show outputs (captions, scripts, etc.) the AI teammates produce for you publicly (those are yours)
- Tell people you're a Lab member

#### 4.3 What you CANNOT do

You agree not to:

- Share, distribute, copy, resell, or give away any Lab materials — including AI teammates, skill files, prompts, videos, docs, or any other content — to anyone outside your membership
- Upload Lab materials to public or private channels (Slack, Discord, Google Drive shares, GitHub, social media, file-sharing services, etc.) where non-members can access them
- Use Lab materials to build, train, or improve competing products or services
- Reverse-engineer or repackage Lab teammates as your own
- Allow other people to use your member login or share your member portal access
- Use Lab materials in a way that violates any law or third-party rights

#### 4.4 What happens if you violate Section 4.3

We take this seriously. If we find evidence that you've shared, distributed, or misused Lab materials, **we reserve the right to**:

- Immediately terminate your membership without refund
- Permanently ban you from rejoining the Lab or any future products we sell
- Pursue legal action to recover damages, including but not limited to lost revenue, legal fees, and statutory damages under copyright law
- Charge you for unauthorized use of our materials at our standard licensing rate of **$5,000 per shared asset**

We'd rather not have to enforce this. The reason it exists: the entire Lab business model depends on the value being earned, not free. When Lab materials get shared outside the membership, every member's investment is devalued. We protect the Lab to protect everyone in it.

#### 4.5 Your IP

Anything you create using Lab teammates — your captions, your sales pages, your offer descriptions, your business brain — belongs to you. We don't claim ownership of your work or your outputs.

### 5. Acceptable use

You agree not to use the Lab to:

- Violate any law or regulation
- Infringe on anyone else's intellectual property or privacy
- Harass, threaten, or harm others
- Spam, deceive, or scam anyone
- Distribute malware or attempt to breach security
- Misrepresent your identity or business

We reserve the right to terminate any membership that violates this section, without refund.

### 6. Required third-party services

The Lab requires you to maintain an active **Claude Max** (or higher) subscription with Anthropic. You're responsible for that cost and account.

The Lab may also reference or integrate with third-party tools (Notion, Google Drive, ThriveCart, etc.). We don't control those tools and aren't responsible for their performance, pricing, or terms.

### 7. No guarantees of results

We believe the Lab is genuinely useful. But we can't guarantee specific outcomes for your business. Results depend on you — your business, your effort, your audience, your timing.

The Lab is not financial, legal, medical, or psychological advice. It's a set of tools and resources. Use your own judgment.

Any testimonials or examples shown reflect those specific members' experiences and aren't guarantees of what you'll achieve.

### 8. AI-specific disclaimers

The Lab's AI teammates run on Claude (operated by Anthropic). We don't control Claude's underlying behavior, capabilities, or output quality. AI can produce errors, biased content, or unexpected results.

You're responsible for reviewing all AI-generated outputs before using them in your business. Don't publish, send, or act on AI output without checking it first.

We make no warranty that AI teammates will work perfectly, every time, for every use case. We continuously improve them, but they're tools — not magic.

### 9. Service availability

We aim for the Lab to be available continuously, but we can't guarantee uninterrupted access. Planned maintenance, third-party outages (Claude, ThriveCart, Notion, etc.), and unexpected technical issues may temporarily affect availability.

We'll do our best to communicate disruptions and resolve them quickly.

### 10. Changes to the Lab

The Lab is a living product. We add, remove, replace, and improve teammates regularly. We may also change the portal structure, delivery mechanisms, included tools, and benefits as the Lab evolves.

If we make a material change that reduces the core value of the Lab, we'll communicate it before the next billing cycle so you can decide whether to continue.

### 11. Termination by us

We reserve the right to terminate any membership at our discretion if:

- You violate these Terms
- Your payment repeatedly fails
- You initiate a chargeback without first contacting us
- You misuse, share, or redistribute Lab materials
- Your behavior in any interaction (email, social, etc.) violates basic respect for our team or other members

If we terminate for cause, you won't be entitled to a refund.

### 12. Limitation of liability

To the maximum extent allowed by law, our total liability to you for any claim arising from your Lab membership is **limited to the amount you paid us in the 12 months prior to the claim**.

We're not liable for indirect, consequential, special, incidental, or punitive damages — including lost profits, lost data, or business interruption.

### 13. Indemnification

You agree to defend, indemnify, and hold us harmless from any claim, damage, or expense (including reasonable legal fees) arising from:

- Your use of the Lab
- Your violation of these Terms
- Your violation of any third party's rights

### 14. Governing law and disputes

These Terms are governed by the laws of [STATE — e.g., California, Florida, whatever Rachel's business is registered in], without regard to conflict of law principles.

Any dispute will be resolved through:

1. **First:** Good-faith negotiation by email
2. **If that fails:** Binding arbitration in San Antonio Texas under the rules of [AMERICAN ARBITRATION ASSOCIATION or similar]
3. **Class action waiver:** You agree to bring claims only in your individual capacity, not as part of a class action or representative action

### 15. Changes to these Terms

We may update these Terms periodically. When we do, we'll post the updated version and update the "Last updated" date. If changes are material, we'll email active members.

Continued use of the Lab after changes means you accept the new Terms.
